Japanese toy maker Bandai Co. Ltd. said on Monday it planned to take over videogame company Namco Ltd. in a $1.6 billion deal that will bring together the creators of "The Power Rangers" and "Pac-Man".

Bandai's acquisition of Namco could foreshadow further consolidation among Japan's numerous game and toy makers, which are facing an uphill battle to maintain profit margins due to the nation's falling birthrate and soaring development costs.

In a deal that values Namco at an 11 percent premium to its stock price before the announcement, the two companies said they planned to form a holding company on Sept. 29 in which Bandai would hold a 57 percent stake and Namco the remaining 43 percent.

A marriage of Bandai, known for its "Power Rangers" and "Gundam" action figures, and Namco, creator of "Pac-Man" and the "Ridge Racers" car racing game, would form Japan's second-largest toy and game group after Sega Sammy Holdings Inc.

Bandai Namco Holdings will be Japans second largest toy and videogame company, after Sega Sammy Holdings, which was formed when Sega Corp. and Sammy Corp. merged in October 2004.
